1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Orphean website at orphean.io and the Orphean platform and related services (collectively, the "Services") provided by Orphean ("Orphean," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. The Services

Orphean provides a converged security intelligence platform that ingests, analyzes, and correlates security data across physical, cyber, and operational domains. Specific features, capabilities, and service levels are described in the applicable order, subscription, or master agreement between you and Orphean.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use. We may suspend or terminate access that we reasonably believe poses a security risk or violates these Terms.

4. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Attempt to gain unauthorized access to the Services or related systems or networks;
• Interfere with or disrupt the integrity or performance of the Services;
• Reverse engineer or copy the Services except as permitted by law; or
• Use the Services to store or transmit malicious code or infringing, unlawful, or harmful content.

5. Customer Data

As between the parties, you retain all rights to the data you submit to the Services ("Customer Data"). You grant Orphean a limited license to process Customer Data solely to provide and support the Services. Our handling of personal data is described in our Privacy Policy.

6. Intellectual Property

The Services, including all software, content, and trademarks, are owned by Orphean or its licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, no rights are transferred. "Orphean" and the Orphean logo are trademarks of Orphean.

7. Fees

Where the Services are provided on a paid basis, fees, billing, and payment terms are set out in the applicable order or subscription agreement. Unless otherwise stated, fees are non-refundable.

8. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Orphean disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Orphean does not warrant that the Services will be uninterrupted, error-free, or that they will detect or prevent every security threat.

9. Limitation of Liability

To the maximum extent permitted by law, Orphean will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Services. Orphean's aggregate liability arising out of or related to the Services will not exceed the amounts paid by you to Orphean in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold Orphean harmless from claims, losses, and expenses arising from your misuse of the Services or violation of these Terms, to the extent permitted by applicable law.

11. Termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms or as otherwise set out in your agreement with us. Provisions that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by the laws applicable to the agreement between you and Orphean, without regard to conflict-of-laws principles. Where no separate agreement specifies a governing law, disputes will be resolved in accordance with applicable law in the jurisdiction in which Orphean operates.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
